EULA - End User License Agreement

IRCXpro Licence Agreement

This Licence Agreement is an agreement between you and IRCXpro. It governs your use of the software supplied to you by IRCXpro ("the Software") and related documentation. By downloading, installing or otherwise using the Software, you agree to be legally bound by the terms of this Licence Agreement.

1. PERMITTED USE

A. Specific conditions of use which apply to the type of licence you have acquired from IRCXpro.

Evaluation Licence for chargeable Software

You may use the Software freely within your organisation to decide whether it meets your needs. The software is limited in the evaluation version to 10 concurrent user connections.

End-User Licence

With a single End-User Licence you may install and use one copy of the Software on a single computer. You may not share the licence between different computers or use the Software on more than one computer at the same time.

If you have bought a licence for (n) concurrent server(s) you may install the licence on any server within your network provided it is used on no more than (n) server(s) at any one time.

You may incorporate the Software, or portions of the Software, into your own software for use within your own organisation.

You may not distribute the Software, or any portions of the Software, or related documentation to any other organisation or to any person external to your organisation.
B. General conditions of use applying to all types of licence.

You may make a reasonable number of copies of the Software for backup and recovery purposes.

You may not make copies of the Software additional to those expressly permitted in this Licence Agreement.

You may not copy any written documentation accompanying the Software.

You may not remove or obscure any copyright and trademark notices relating to the Software.

You may not reverse engineer, decompile or disassemble the Software except to the extent expressly permitted by any applicable local laws which may over-rule this restriction.

You may not distribute any portions of the Software to any third party.

You may not rent or lease the Software but you may transfer the Software and accompanying documentation on a permanent basis provided that (i) you retain no copies and the recipient agrees to the terms of the Licence Agreement you are transferring and (ii) notify IRCXpro of the transfer in writing.
2. INTELLECTUAL PROPERTY RIGHTS

The copyright, patents, trade marks and all other intellectual property rights in the Software and related documentation are owned by IRCXpro or its suppliers and are protected by national laws and international treaty provisions. You do not obtain any rights in the Software other than those expressly granted in this Licence Agreement.
3. TERMINATION

This Licence is effective until terminated. This Licence will terminate automatically without notice by IRCXpro if you fail to comply with any provision of this Licence. Upon termination you shall destroy the documentation and all copies of the Software.
4. UPDATE POLICY

IRCXpro may create, from time to time, updated versions of the Software. IRCXpro will make any such updated versions available to licensees who have paid the update fee. If you acquire an updated version of the Software then all copies of the previous version must be destroyed and not used, except for one copy which may be retained solely for archival purposes.

IRCXpro will distribute services packs of the software free of charge.
5. LIMITED WARRANTY

With respect to the physical diskette(s) and documentation enclosed herein, IRCXpro warrants the same to be free from defects in materials and workmanship for a period of 90 days from the date of purchase. In the event of notification within the warranty period, IRCXpro will replace the defective diskette(s) or documentation. Your remedy for breach of this warranty shall be limited to replacement of the defective materials and shall not encompass any other damages.

IRCXpro expressly disclaims all other warranties, expressed or implied, statutory or otherwise, relating to the Software and related documentation or technical support including but not limited to warranties of quality, performance, merchantability or fitness for a particular purpose.
6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, IRCXpro shall not be liable for any indirect, special, tort, economic or consequential damages arising from your use, or inability to use, the Software including without limitation loss of profit, goodwill or failure to realise anticipated benefits. In any event, IRCXpro’s entire liability relating to your use or possession of the Software shall be the price paid by you for the Software, except in the case of death or personal injury where no such limitation shall apply.
7. GENERAL

If a Court or other competent authority decides that any provision of this Agreement is void or otherwise ineffective in whole or in part then any other part and the other terms and conditions of this Agreement shall continue in full force and effect.

This Agreement is governed by and interpreted in accordance with English Law. Any disputes or claims relating to this Agreement shall be subject to the exclusive jurisdiction of the English Courts.
